Alton Teaches LLC dba MicroGrinder Poker School ("us", "we", or "our") operates MicroGrinder Poker School, an online education platform (the "School"). Throughout the School, the terms "we", "us", and "our" refer to Alton Teaches LLC dba MicroGrinder Poker School. Alton Teaches LLC dba MicroGrinder Poker School offers this School, including all information, tools, courses, and Services available through this platform to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
By enrolling in our School and/or purchasing courses from us, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms of Use", "Terms"), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Use apply to all users of the School, including without limitation students, browsers, and customers.
By agreeing to these Terms of Use, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this School.
Please read these Terms of Use carefully before accessing or using our School. By accessing or using any part of the School, you agree to be bound by these Terms of Use. If you do not agree to all the terms and conditions of this agreement, then you may not access the School or use any Services.
Section 1 - General Conditions & Use License
We reserve the right to refuse service to anyone for any reason at any time.
Course Content License: Permission is granted to temporarily download one copy of any downloadable materials on the School's platform for personal, non-commercial, transitory viewing only. This is the grant of a license, not a transfer of title, and under this license, you may not:
- Modify or copy the materials;
- Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
- Remove any copyright or other proprietary notations from the materials; or
- Transfer the materials to another person or 'mirror' the materials on any other server.
This license shall automatically terminate if you violate any of these restrictions, and may be terminated by Alton Teaches LLC dba MicroGrinder Poker School at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
Platform Usage: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service, or any contact on the platform through which the Service is provided, without express written permission from us.
Section 2 - Educational Disclaimer
Important Notice Regarding Poker and Gambling Education:
Our courses contain the opinions and ideas of our instructors. The courses are intended to provide helpful and informative material on poker strategy and related subjects. The information, practice exercises, and scenarios presented within our courses are strictly for educational purposes. The strategies outlined in our courses may not be suitable for everyone and are not guaranteed or warranted to produce any particular results. If you wish to apply the ideas contained in our courses, you are taking full responsibility for your actions. Our courses are provided with the understanding that we are not engaging in rendering any kind of personal professional services through the School.
Gambling Risks: Poker and gambling can be addictive and may lead to financial losses. This School is intended for educational and entertainment purposes only and does not constitute an endorsement or encouragement to engage in gambling activities. We strongly advise students to be aware of the risks associated with poker and gambling and to seek professional help if they suspect they may have a gambling problem.
Liability Disclaimer: We expressly disclaim all responsibility for any liability, loss, or risk, personal or otherwise, which is incurred as a consequence, directly or indirectly, of the use and application of any of the contents in our courses. We do not assume and hereby disclaim any liability to any party for any loss, damage, or disruption caused by errors or omissions, whether such errors or omissions result from accident, negligence, or any other cause.
Section 3 - Products and Services
We offer the following products and services through our School:
- Individual Courses: Single course purchases with lifetime access to course materials.
- Course Bundles: Bundled course packages with lifetime access to all included course materials.
- Digital Downloads: Downloadable digital products including eBooks, PDFs, workbooks, and other educational materials.
- Monthly Membership: A subscription-based membership providing access to designated courses and content. Membership renews automatically each month until canceled.
- One-on-One Coaching Sessions: Live, personalized coaching sessions conducted via video conference (availability subject to instructor schedule). These sessions must be scheduled in advance and are non-refundable due to their live, time-reserved nature.
Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue any Service or product (or any part or content thereof) without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.
Section 4 - Refund Policy
We offer a 100% satisfaction guarantee on the following products:
- Individual Courses, Course Bundles, and Digital Downloads: If you are unsatisfied with your purchase, you may request a refund within 14 days of the original purchase date, no questions asked.
- Monthly Membership: This 14-day refund policy applies only to the first month's payment. Subsequent monthly renewal payments are non-refundable. You may cancel your membership at any time to prevent future charges, but previously charged monthly fees will not be refunded.
- One-on-One Coaching Sessions: All coaching sessions are non-refundable due to their live, time-reserved nature. Once a session is booked, the instructor has reserved that time exclusively for you, and therefore we cannot offer refunds for coaching sessions.

Section 5 - Accuracy, Completeness, and Timeliness of Information
We are not responsible if information made available in the School is not accurate, complete, or current. The material in the School is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material in the School is at your own risk.
The School may contain certain historical information, which is not current and is provided for reference only. We reserve the right to modify the contents of the School at any time, but we have no obligation to update any information in our School. You agree that it is your responsibility to monitor changes to our School.
Section 6 - Accounts and Billing Information
Account Security & Sharing: Your account is for your sole, personal use. Account sharing is strictly prohibited. You are allowed one account per person. You may not permit the Service to be used by anyone other than yourself. You agree to maintain the security of your password and accept responsibility for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Account Termination for Sharing: Violation of our account sharing policy may result in immediate termination of your account without refund.
Billing Accuracy: We reserve the right to refuse any order you place with us. You agree to provide current, complete, and accurate purchase and account information for all purchases made through the School. You agree to promptly update your account and other information, including your email address and payment information, so that we can complete your transactions and contact you as needed.
Subscription Billing: If you purchase a monthly membership, you authorize us to charge your payment method on a recurring monthly basis until you cancel your subscription. You may cancel your subscription at any time through your account settings or by contacting us at support@microgrinder.com.
Membership Changes: You may upgrade or downgrade your membership tier at any time through your Memberships & Subscriptions area. If you upgrade to a higher tier, you will be charged a prorated amount for the difference immediately (if the difference exceeds $0.99). If you downgrade to a lower tier, you will retain access to your current tier until the end of your current billing period, at which point you will be charged the lower tier rate.
Failed Payment Policy: If your monthly membership payment fails, we will automatically retry charging your payment method up to 3 times on days 3, 7, and 14 following the failed payment attempt. If all retry attempts fail, you will be automatically unenrolled from the membership and will lose access to membership content. However, we reserve the right to terminate your membership after any failed payment attempt at our sole discretion, including after the first failed attempt if we determine it necessary.
Section 7 - Third-Party Links and Services
Certain content, products, and Services available via our School may include materials from third parties. Third-party links in the School may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties.
We are not liable for any harm or damages related to the purchase or use of goods, Services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction.

Your submission of personal information through the School is governed by our Privacy Policy, which is incorporated into these Terms of Use by reference.
Section 9 - User Comments, Community, and Other Submissions
Student Community: Our School includes a community feature where students can post comments, questions, and interact with other students. By participating in our community, you agree to conduct yourself respectfully and professionally.
Feedback and Submissions: If you choose to provide feedback including any ideas, suggestions, concepts, processes, techniques, questions, answers, and other comments related to our Services, School, proposed services, documentation, or business ("Feedback"), we will own and may use such Feedback without any restrictions and obligations to you, and you hereby waive any claim you have to ownership, compensation, monetary or otherwise.
Content Monitoring: We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these Terms of Use.
User Responsibilities: You agree that any comments or content you submit will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third party.
Section 10 - Prohibited Uses
In addition to other prohibitions as set forth in the Terms of Use, you are prohibited from using the School or its content:
- For any unlawful purpose or in violation of any laws in your jurisdiction (including but not limited to copyright, data protection, and privacy laws);
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others;
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate;
- To submit false or misleading information;
- To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet;
- To collect or track the personal information of others;
- To spam, phish, pharm, pretext, spider, crawl, or scrape;
- For any obscene or immoral purpose;
- To interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet;
- To use the content to train, develop, or improve any machine learning or artificial intelligence models without our express written permission;
- To reverse engineer, decompile, or disassemble any aspect of the Service;
- To permit the Service to be used by anyone other than yourself (account sharing is strictly prohibited);
- To circumvent any limitations imposed on your account including any license, timing, or use restrictions;
- To lend, sell, resell, lease, sublicense, transfer, or distribute access to the Service for the benefit of a third party;
- To share, distribute, or make available course materials, videos, or any proprietary content to any third party.
You must not use the bandwidth and storage resources provided by us in an unreasonable and disproportionate manner. We monitor usage to ensure fair distribution of resources among all students. If your usage exceeds what we consider reasonable, we reserve the right to take appropriate measures, including but not limited to implementing bandwidth throttling, imposing storage limits, or suspending access to the Service.
We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.
Section 11 - Disclaimer of Warranties
We do not guarantee, represent, or warrant that your use of our Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.
You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and Services delivered to you through the Service are (except as expressly stated by us) provided "as is" and "as available" for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.
Section 12 - Limitation of Liability
In no case shall Alton Teaches LLC dba MicroGrinder Poker School, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility.
Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Section 13 - Indemnification
You agree to indemnify, defend, and hold harmless Alton Teaches LLC dba MicroGrinder Poker School and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Use or the documents they incorporate by reference, or your violation of any law or the rights of a third party.
Section 14 - Severability
In the event that any provision of these Terms of Use is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Use. Such determination shall not affect the validity and enforceability of any other remaining provisions.
Section 15 - Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Use are effective unless and until terminated by either you or us. You may terminate these Terms of Use at any time by notifying us that you no longer wish to use our Services, or when you cease using the School.
If, in our sole judgment, you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Use, we also may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Section 16 - Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.
These Terms of Use and any policies or operating rules posted by us in the School or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use).
Any ambiguities in the interpretation of these Terms of Use shall not be construed against the drafting party.

These Terms of Use and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
